Themis Africa invites proposals from qualified law firms to act as international external legal counsel for the structuring and execution of the NAMA Solar PV Project in The Gambia. The Project involves the development and financing of two solar PV plants with a combined capacity of 27 MW, in partnership with the Ministry of Petroleum and Energy and NAWEC, under a project finance structure.
Scope of Work
The selected firm will advise Themis on the negotiation and finalisation of:
- EPC, O&M, PPA, and implementation agreements
- Land sublease and grid connection agreements
- Financing documentation (common terms, facility, equity, security, and political risk guarantee agreements)
- Coordination with local Gambian legal counsel
- General legal support through to financial close (Q4 2025)
Eligibility
Firms must demonstrate:
- Experience in international project finance and renewable energy projects
- Capability to lead transaction advisory with multinational and sovereign stakeholders
- Availability of a qualified, multidisciplinary team
